Affiliate Program Terms & Conditions

1. Program Overview

The Answrr Affiliate Program allows approved affiliates to earn commissions by referring new paying customers to our SaaS platform. By participating in this program, you agree to these terms and conditions.

2. Eligibility & Application

2.1 Eligibility Requirements

• Must be 18 years of age or older
• Must have a legitimate online presence (website, blog, social media, etc.)
• Must comply with all applicable laws and regulations
• Cannot be a current employee or immediate family member of AIQ Labs Limited

2.2 Application Process

• Complete the affiliate application form
• Provide details about your promotional channels and audience
• Await approval from our affiliate team
• AIQ Labs reserves the right to accept or reject applications at our sole discretion

3. Commission Structure & Payment Terms

3.1 Commission Eligibility

• Payment Trigger: Commissions are earned only when referred users become paying customers
• Trial Users: No commissions are paid for trial sign-ups or free account registrations
• First Payment: Commission is earned when the referred user makes their first payment after trial period ends

3.2 Payment Schedule

• Monthly Cycle: Commission period runs from 12:00 AM on the 1st of each month to 11:59 PM on the last day of the month
• Payment Date: All commission payments are processed on the 15th of the following month
• No Minimum Threshold: There is no minimum payout amount required

3.3 Payment Method

All payments are processed through our third-party provider, Tremendous. On the 15th of each month, affiliates receive a direct email from Tremendous with payment options including:

• Gift cards from major retailers
• Virtual Visa cards
• Physical Visa cards
• Direct bank account transfers
• Other digital payment methods

3.4 Clawback Policy

• 30-Day Clawback Period: If we refund a customer within 30 days of their payment, the corresponding commission will be deducted from your next payout
• Beyond 30 Days: Refunds processed after 30 days will not result in commission clawbacks
• Notification: You will be notified of any clawbacks via email before they are applied

4. Tracking & Attribution

4.1 Referral Tracking

• All referrals must be made through your unique affiliate tracking links
• Cookies and tracking mechanisms determine commission attribution
• AIQ Labs' tracking system is the sole determinant of eligible referrals

4.2 Attribution Rules

• Last-click attribution model applies
• Referrals must result in a completed sale within the tracking period
• Self-referrals are strictly prohibited and will result in account termination

5. Promotional Guidelines

5.1 Approved Marketing Methods

• Content marketing (blogs, articles, reviews)
• Social media promotion
• Email marketing to your existing audience
• Paid advertising (with prior approval)
• Video content and tutorials

5.2 Prohibited Activities

• Spam: No unsolicited emails or messages
• Trademark Infringement: Cannot bid on AIQ Labs or Answrr trademarks in paid search
• False Claims: No misleading or false statements about our service
• Self-Referrals: Signing up through your own affiliate link
• Commission Sharing: Offering cash back or sharing commissions with referred users
• Coupon/Deal Sites: Posting on unauthorized coupon or deal websites without approval

5.3 Brand Guidelines

• Use only approved marketing materials and brand assets
• Maintain professional representation of Answrr
• Do not alter our logos, brand names, or promotional materials
• Request approval for custom marketing materials

6. Affiliate Responsibilities

6.1 Compliance

• Comply with all applicable laws, including FTC disclosure requirements
• Clearly disclose affiliate relationships in all promotional content
• Maintain accurate and up-to-date contact information
• Respond promptly to compliance requests from AIQ Labs

6.2 Content Standards

• Ensure all promotional content is accurate and not misleading
• Maintain professional standards in all communications
• Avoid content that could damage Answrr's reputation
• Respect intellectual property rights

7. Account Management

7.1 Account Access

• Access to affiliate dashboard and reporting tools
• Real-time tracking of clicks, conversions, and commissions
• Monthly performance reports
• Access to marketing materials and resources

7.2 Account Termination

• Either party may terminate the agreement with 30 days written notice
• AIQ Labs may terminate immediately for breach of terms
• Upon termination, unpaid commissions for completed sales will be honored
• Access to affiliate tools and materials will be revoked

8. Limitation of Liability

8.1 Disclaimer

• AIQ Labs makes no guarantees about affiliate earnings potential
• Commission rates and program terms may change with 30 days notice
• Technical issues with tracking or payments are addressed on best-effort basis

8.2 Indemnification

• Affiliates agree to indemnify AIQ Labs against claims arising from their promotional activities
• Affiliates are responsible for compliance with local laws and regulations
• AIQ Labs is not liable for affiliate's promotional expenses or lost earnings

9. Intellectual Property

9.1 License Grant

• Limited, non-exclusive license to use Answrr marketing materials
• License is revocable and terminates with affiliate relationship
• No rights to modify or create derivative works

9.2 Ownership

• AIQ Labs retains all rights to trademarks, copyrights, and proprietary information
• Affiliates cannot register domains containing our trademarks
• All customer relationships remain property of AIQ Labs

10. Privacy & Data Protection

10.1 Data Handling

• Affiliate must comply with applicable privacy laws (GDPR, CCPA, PIPEDA)
• No sharing of customer data or personal information
• Proper handling of any data collected through promotional activities

10.2 Confidentiality

• Keep all proprietary information confidential
• Do not disclose commission rates, program details, or business information
• Maintain confidentiality even after program termination

11. Tax Responsibilities

11.1 Tax Obligations

• Affiliates are responsible for all applicable taxes on commission earnings
• AIQ Labs will provide necessary tax documentation as required by law
• Consult with tax professionals regarding your specific obligations

11.2 International Considerations

• International affiliates responsible for local tax compliance
• Currency conversion handled by Tremendous payment system
• Tax documentation provided based on Canadian requirements

12. General Terms

12.1 Governing Law

• These terms are governed by the laws of Nova Scotia, Canada
• Disputes subject to jurisdiction of Nova Scotia courts
• English language version takes precedence over translations

12.2 Modifications

• AIQ Labs may modify these terms with 30 days email notice
• Continued participation constitutes acceptance of modified terms
• Material changes may require new agreement acceptance

12.3 Severability

• Invalid provisions do not affect enforceability of remaining terms
• Terms survive termination where applicable
• Entire agreement supersedes previous understandings
